Terms & Conditions

Please read these terms carefully. By accessing or using EasyP2P, you agree to be bound by them.

Effective date: November 1, 2025

These Terms & Conditions (“Terms”) govern your access to and use of EasyP2P (“EasyP2P,” “we,” “us,” or “our”). By using our website, app, APIs, or services (collectively, the “Services”), you agree to these Terms and our Privacy Policy.

1. Definitions

Account: Your registered EasyP2P profile. Liquidity Provider (LP): A verified participant providing USDT liquidity and settling in local rails. User: Any individual or entity using the Services. Order: A fiat–USDT swap request. INR: Indian Rupees. USDT: Tether stablecoin.

2. Eligibility

  • You must be at least 18 years old and have the legal capacity to enter contracts.
  • You must comply with all applicable laws, including tax, foreign exchange, AML, and consumer protection rules in your jurisdiction.
  • Access may be geo-restricted or feature-limited based on risk/compliance criteria.

3. Account Registration & Security

  • Provide accurate, current information and keep it updated.
  • Protect your credentials; you’re responsible for all activity under your account.
  • We may require KYC/ KYB to unlock higher limits or merchant features.
  • We may suspend or terminate accounts for suspected policy violations or unlawful use.

4. Services & Scope

EasyP2P facilitates peer-to-peer swaps between Users and LPs. We are not a bank, custodian, or broker. We do not hold customer funds; settlement occurs directly between parties using supported rails (e.g., UPI/IMPS/BharatQR) and on-chain transfers.

5. Fees, Pricing & Taxes

  • Displayed quotes include LP spread and platform fees where applicable.
  • Network/rail fees may apply (e.g., gas, bank charges). These are borne by the User unless stated otherwise.
  • You’re responsible for all taxes resulting from your use of the Services.

6. Limits, Verification & Compliance

  • Default limits apply. Higher limits require successful KYC/KYB and ongoing monitoring.
  • We may request information at any time to satisfy AML/CFT obligations.
  • Non-cooperation or adverse screening may lead to delays, restrictions, or termination.

7. Prohibited Activities

You agree not to use the Services for any unlawful or high-risk activity, including but not limited to:

  • Fraud, scams, money laundering, terrorist financing, sanctions evasion.
  • Sale/purchase of illicit goods/services, IP infringement, or privacy violations.
  • Abuse of chargebacks, account farming, synthetic identities, or spoofed payments.

8. Risk Disclosures

  • Crypto assets are volatile and may lose value. Past performance is not indicative of future results.
  • Transfers (on-chain or bank rails) can be delayed or reversed based on network/bank conditions.
  • Regulatory changes may impact availability, pricing, or your ability to use certain features.

9. Orders, Execution & Settlement

  • Submitting an order authorizes the LP and platform to process the swap per the displayed quote and rules.
  • Execution window, required proofs (e.g., UTR/tx hash), and settlement steps are specified in-app.
  • We may cancel orders for suspected abuse, pricing errors, or compliance triggers.

10. Refunds, Reversals & Chargebacks

  • Completed crypto transfers are typically irreversible.
  • If a fiat payment is reversed/chargebacked, you must promptly return the corresponding crypto value or reimburse losses, fees, and penalties.
  • Disputes are handled under Section 13 (Dispute Resolution).

11. Intellectual Property

All content, trademarks, logos, UI, and code are owned by EasyP2P or licensors. You receive a limited, revocable, non-transferable license to use the Services as intended. No rights are granted except as expressly stated.

12. Third-Party Services

We may integrate third-party tools (e.g., analytics, wallets, payment rails). Their terms and privacy practices govern your use of those features. We do not control or endorse third-party services.

13. Dispute Resolution

  • Good-faith resolution: Contact support first for an amicable solution.
  • Arbitration: Failing resolution within 30 days, disputes shall be finally settled by binding arbitration under the Arbitration and Conciliation Act, 1996. Seat: Kolkata, India. Language: English. One arbitrator appointed per mutual agreement or per applicable rules.
  • Injunctive relief: Either party may seek urgent equitable relief in courts with jurisdiction in Kolkata.

14. Limitation of Liability

To the maximum extent permitted by law, in no event shall EasyP2P be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business interruption. Our aggregate liability arising out of or relating to the Services shall not exceed the fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

15. Indemnity

You agree to indemnify and hold harmless EasyP2P, its affiliates, directors, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your misuse of the Services, violation of these Terms, or infringement of any third-party rights.

16. Termination & Suspension

  • You may stop using the Services at any time.
  • We may suspend or terminate access immediately for policy violations, legal/AML concerns, or risk to other users.
  • Sections that by nature should survive (e.g., IP, risk, liability, indemnity, dispute resolution) will survive termination.

17. Privacy & Data

Your use of the Services is also governed by our Privacy Policy. We apply reasonable technical and organizational measures to protect data but cannot guarantee absolute security of any transmission or storage system.

18. Changes to These Terms

We may update these Terms. Material changes will be communicated via the website/app or by email (if available). Continued use after the effective date constitutes acceptance of the revised Terms.

19. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles, and subject to the dispute resolution mechanism in Section 13.
